This Artificial Intelligence Addendum (the “AI Addendum”) forms a part of and is incorporated into the Socialive General Terms and Conditions. This AI Addendum governs Subscriber’s access to and use of any AI Features (defined below). Any capitalized terms used but not defined in this AI Addendum have the meanings set forth in the previously agreed-upon Order Form(s) in effect between Subscriber and Socialive, any exhibits or attachments thereto, any SOW(s), and the General Terms and Conditions (collectively, the “Agreement”). The Agreement shall continue in full force and effect.
This AI Addendum, together with the Agreement, sets forth the terms according to which Subscriber may use AI Features. By using the AI Features, Subscriber acknowledges that it has read, understood, and agreed to be bound by this AI Addendum and the Agreement. Subscriber represents and warrants that it has the full legal authority to enter into this AI Addendum and that the individual accepting this AI Addendum is acting on behalf of Subscriber and has the legal authority to bind Subscriber to this AI Addendum.
“AI Features” means any service, feature, or functionality made available by Socialive or through the Service (including any beta service) that utilizes artificial intelligence technology or generative artificial intelligence technology, including those that may be labeled or otherwise described as AI Features (for example, by incorporating the term “AI” or other marks or images of similar import into a product of feature name). AI Features are covered by the Socialive General Terms and Conditions and are part of the Services.
“Input” means images, visual or audio recordings, text, or other data (which may include Subscriber Data or Personal Data) submitted by Subscriber to Socialive for processing by AI Features.
“Output” means images, transcripts, text, visual or audio recordings, and other content or metadata generated by AI Features and returned to Subscriber based on the Input.
When Subscriber uses AI Features, Output shall be Subscriber Data. Subscriber is solely responsible for the development, content, operation, maintenance, use, and dissemination of its Inputs and Subscriber Data. Subscriber will ensure that neither the Input nor Subscriber’s use of AI Features or any Output will: (i) violate any applicable Law; (ii) violate this AI Addendum, the General Terms and Conditions, or any content and use policies Socialive may implement from time to time; (iii) infringe, violate, or misappropriate any of Socialive’s rights or the rights of any third party, (iv) automatically or programmatically extract data or Output, (v) represent that Output was human-generated when it was not, (vi) interfere with or disrupt our Service, including circumventing any rate limits or restrictions or bypass any protective measures to safety mitigations on the Service, or (vii) attempt to or assist anyone to reverse engineer, decompile or discover the source code or underlying components of the Service, including any models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law). Subscriber further represents and warrants that Subscriber has all rights, licenses, and permissions needed to provide the Input to AI Features. Subscriber acknowledges that, due to the nature of AI and the technology powering Socialive’s AI features, Output may not be unique and AI Features may generate the same or similar output to Socialive or a third party. Socialive’s assignment below does not extend to other users’ output or any other third party’s output. Socialive processes Inputs and Outputs solely to provide and maintain the AI Features in accordance with this AI Addendum and applicable data protection laws. Subscriber acknowledges that the quality and appropriateness of Outputs depend on the accuracy and lawfulness of Inputs.
Socialive will process any Inputs, Outputs, or other Subscriber Data submitted to or generated by AI Features in accordance with its Privacy Policy and the Data Processing Addendum (“DPA”) between the parties. Socialive will not use Subscriber Data or Output to train, retrain, or improve underlying foundation or large language models except as expressly permitted in writing by Subscriber. (b) Data Retention. Inputs and Outputs processed by AI Features will be retained only as necessary to provide the AI Features or as otherwise required by applicable law or the Agreement. (c) Security Measures. Socialive will maintain appropriate technical and organizational measures designed to protect Subscriber Data processed by AI Features against unauthorized access, use, or disclosure, consistent with Socialive’s security practices and certifications.
Subscriber is responsible for ensuring the lawful basis for uploading Inputs, reviewing and validating any Output prior to its use or distribution, and complying with all applicable laws and internal policies when using AI Features. Subscriber understands and agrees that: (i) Output may not always be accurate and Subscriber shall not rely on Output from the AI Features as a sole source of truth or factual information, or as a substitute for professional advice, (ii) Subscriber must evaluate Output for accuracy and appropriateness for its use case, including using human review as appropriate, before using or sharing Output from the AI Features, (iii) Subscriber shall not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing,insurance, legal, medical, or other important decisions about them, and (iv) the AI Features may provide incomplete, incorrect, or offensive Output that does not represent Socialive’s views and that if Output references any third-party products or services, it does not mean the third party endorses or is affiliated with Socialive.
Subscriber understands and acknowledges that Subscriber’s use of AI Features is voluntary and optional, and that other Services provided by Socialive may be used without enabling AI Features. At Socialive’s sole discretion, Socialive may at any time (i) change, suspend, or discontinue any AI Features, (ii) impose limits on certain features and services or restrict Subscriber’s access to all or part of AI Features without notice or liability to Socialive, and (iii) modify or replace any of these AI Addendum terms (including as necessary to comply with applicable Law). Subscriber’s continued use of AI Features following the posting of any changes to this AI Addendum constitutes acceptance of those changes. Socialive reserves the right to suspend or terminate Subscriber’s access to AI Features or delete Subscriber’s account if Socialive determines that (i) Subscriber breached the terms of this AI Addendum terms or the Agreement, (ii) we must do so to comply with the law, or (iii) Subscriber’s use of the AI Features could cause risk or harm to Socialive, our users, or anyone else.
As between the parties, Subscriber retains all right, title, and interest in and to Subscriber Data, Inputs, and Outputs. Socialive hereby assigns to Subscriber all of its right, title, and interest, if any, in and to Output. Socialive retains all right, title, and interest in and to AI Features and any aggregated data derived therefrom.
AI FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND SOCIALIVE DOES NOT MAKE ANY REPRESENTATION OR WARRANTY AS TO OUTPUT OR THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF AI FEATURES OR THE ACCURACY OF ANY OTHER INFORMATION OBTAINED THROUGH AI FEATURES. SOCIALIVE DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. SOCIALIVE DOES NOT WARRANT THAT THE AI FEATURES WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED. SUBSCRIBER ACCEPTS AND AGREES THAT ANY USE OF THE OUTPUTS FROM SOCIALIVE’S AI FEATURES IS AT ITS SOLE RISK AND SUBSCRIBER WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.
NEITHER SOCIALIVE NOR ANY OF ITS AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF SOCIALIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOCIALIVE’S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT SUBSCRIBER PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE OR ONE HUNDRED DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
To the extent permitted by law, Subscriber will indemnify and hold harmless Socialive, its affiliates, and its personnel, from and against any costs, losses, liabilities, and expenses (including attorneys’ fees) from third party claims arising out of or relating to Subscriber’s use of the AI Features, Input and Output or any violation of the terms of this AI Addendum.
This AI Addendum, together the Agreement and any exhibits or attachments thereto, constitutes the entire agreement between the parties, and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. Except for Socialive exercising its right to modify or replace this AI Addendum as described above, and Subscriber’s acceptance of such modified or replaced AI Addendum through Subscriber’s continued use of AI Features following the posting of such modified or replaced AI Addendum, no modification, amendment, or waiver of any provision of this AI Addendum shall be effective.
